Terms of Service

These terms are the agreement between you and Gift Network. They cover your account, the wallet, how gifts work, what things cost, how money comes back out, and what happens when something goes wrong. By creating an account or using Gift Network, you accept them. If you do not accept them, do not use Gift Network.
Three things worth knowing before you start.
1. Your Gift Network balance is stored value for use in the app. It is not a bank account, it earns no interest, and it is not insured by CDIC or any deposit insurer.
2. Only money you received as a gift can be withdrawn to a bank account. Money you load onto your own wallet can be spent in the app but cannot be cashed back out — Gift Network is not a way to move money to yourself.
3. You must verify your identity before you can send money or withdraw. Until then, your account can receive gifts only.
1. Who this agreement is with
Gift Network is operated by Seasons Inc., a company based in Ontario, Canada (“Seasons Inc.”, “we”, “us”). “You” means the person using the app. These terms, together with our Privacy Policy, form the whole agreement between us.
2. Eligibility
To use Gift Network you must:
- be at least 13 years old, and at least 18 to send money, buy gifts or withdraw funds;
- be able to enter a binding contract, and not be barred from our services under any applicable law;
- not be subject to sanctions administered by Canada, the United States, the United Kingdom, the European Union or the United Nations, and not be located in a country subject to comprehensive sanctions;
- use Gift Network for personal, non-commercial purposes unless we have agreed otherwise in writing.
Gift Network is currently offered in Canada and denominated in Canadian dollars. Features vary by country, account status and eligibility.
3. Your account
Give us accurate information and keep it current. You are responsible for everything that happens under your account and for keeping your password and device secure. Tell us immediately at support@network.gift if you suspect unauthorised access.
One account per person. Do not sell, rent or transfer your account, impersonate anyone, or create an account after we have terminated a previous one.
4. Identity verification and limits
Canadian anti-money-laundering law requires us to identify you before you move money. Verification runs through Stripe Identity and requires a valid government photo ID.
Until you are verified, your account is receive-only. You can accept gifts, but you cannot send money, buy gifts, or withdraw.
Once verified, the following limits apply unless we tell you otherwise:

We may change these limits, apply lower ones to an individual account, or require further information at any time where we consider it necessary to manage risk or meet a legal obligation. We screen accounts against sanctions and politically-exposed-person lists when you verify and periodically afterwards.
5. Your wallet
Your Gift Network balance is a record of stored value we hold for you so you can send gifts in the app. To be explicit about what it is not:
- It is not a bank account or a deposit, and it is not insured by the Canada Deposit Insurance Corporation or any other deposit insurer.
- It earns no interest.
- We are not a bank and we do not provide banking, lending or investment services.
We hold customer funds separately from our own operating money. Your balance is denominated in Canadian dollars; there is no currency conversion in the money path. A dollar charged is a dollar credited.
You can add funds by card. Card payments are processed by Stripe under Stripe’s own terms; we never receive your card number. If a card payment is later reversed or charged back, we may deduct the corresponding amount from your balance and suspend your account while we investigate.
6. Sending and receiving gifts
A gift is a voluntary transfer. Once a gift is accepted, it belongs to the recipient and you cannot reverse it. Check who you are sending to before you confirm — we cannot claw a gift back because you changed your mind or picked the wrong person.
- Direct gifts to an existing Gift Network user are credited to their wallet immediately.
- QR and link gifts are held in escrow until claimed. The funds leave your balance when you create the gift and return to it if the gift expires or you cancel it before it is claimed.
- Email gifts to people not yet on Gift Network work the same way: the recipient claims by following the link and creating an account.
- Anonymous gifts hide your identity from the recipient. They do not hide it from us, and we may disclose it where the law requires or where we are investigating abuse.
Gifts are not payment for goods or services. Do not use Gift Network to settle commercial transactions — it has no buyer or seller protection, no escrow for merchandise, and no chargeback process. If you send a gift expecting something in return and do not get it, that is a dispute between you and the other person.
7. Gift cards and third-party gifts
Gift cards and mobile top-ups are supplied by third parties — brand issuers, and our fulfilment partner Reloadly — not by Gift Network. When you buy one:
- It is governed by the issuer’s terms, expiry rules and territorial restrictions, not ours.
- Once a code has been delivered or revealed, the purchase is final and non-refundable, because the value can be spent immediately.
- We are not responsible for an issuer refusing to honour a code, going out of business, or changing its terms. We will help you pursue it, but the contract for the underlying value is with the issuer.
- If fulfilment fails before a code is issued, we refund the full amount to your wallet.
8. Fees
Every fee is shown to you before you confirm a transaction. The current schedule:

When you add funds by card, the fee is added on top of the amount you asked for, so you always receive exactly the credit you requested. Adding CAD 100 costs CAD 104.33 and credits CAD 100.
We may change fees. We will give you at least 30 days’ notice in the app or by email before an increase takes effect, and the change will not apply to transactions already completed.
9. Withdrawals
Only funds you received as gifts can be withdrawn. Money you added to your own wallet is spend-only: you can use it to send gifts, but you cannot cash it back out. This is deliberate — it keeps Gift Network a gifting app rather than a money transmission service.
The app shows your withdrawable amount alongside your total balance. When you spend, we draw on gift funds first, which means spending can reduce what you are able to withdraw later.
Withdrawals go to a bank account you connect through Stripe Connect, which requires completing Stripe’s own onboarding and accepting Stripe’s terms. The minimum withdrawal is CAD 10. Payouts typically arrive within 2–5 business days, though timing is ultimately Stripe’s and your bank’s. We may delay or decline a withdrawal while we investigate suspected fraud, a chargeback, or a legal or compliance issue.
10. Refunds, expiry and errors
- Unclaimed QR and link gifts are automatically refunded to the sender’s wallet when they expire. You can also cancel one yourself at any time before it is claimed.
- Local delivery gifts held by QR expire after 7 days and are refunded automatically.
- Claimed gifts are not refundable. See section 6.
- Gift card codes are not refundable once delivered. See section 7.
- Failed transactions are refunded to your wallet in full, automatically.
If we make an error — a duplicate charge, a wrong amount, a failed credit — we will fix it, including by adjusting your balance. Tell us within 60 days of the transaction at support@network.gift. You can also raise a dispute from within the app, and we will investigate and respond.
11. Rules of use
You must not use Gift Network to:
- launder money, finance terrorism, evade sanctions, structure transactions to avoid reporting thresholds, or move the proceeds of crime;
- commit fraud, run a pyramid or Ponzi scheme, or deceive anyone into sending you money;
- pay for anything illegal, or for gambling, adult services, weapons, drugs, or other activity prohibited by our payment providers;
- harass, threaten, stalk, impersonate or endanger anyone, or use Nearby to find or follow someone who does not want to be found;
- upload content that is illegal, sexually exploitative of children, hateful, violent, or infringes someone else’s rights;
- circumvent privacy or safety controls, including blocking, private accounts, anonymity settings, or Nearby visibility;
- manipulate gift history, counts, rankings or Gift Network diagrams to mislead others;
- scrape, reverse engineer, decompile, probe or attack the service or its infrastructure, or access it by any means other than the app;
- use Gift Network commercially — as a payment terminal, remittance channel, payroll system or means of moving funds between your own accounts.
Uploaded images and video are scanned automatically for unsafe content and may be rejected. Report anything that breaks these rules from the ⋯ menu on a profile, or at support@network.gift.
12. Your content
You keep ownership of everything you upload. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt and display it strictly as needed to operate the service — showing your profile photo to people who view your profile, delivering a greeting card to its recipient, running safety scanning, and taking backups. That licence ends when you delete the content, except for copies already distributed to other users and copies retained in backups or legal records.
We do not use your content to advertise or promote Gift Network without asking you first.
You are responsible for what you upload and confirm you have the right to upload it. We may remove content that breaks these terms. If you believe content on Gift Network infringes your copyright, write to support@network.gift identifying the work and the material in question.
13. Messaging
Direct messages are end-to-end encrypted. We cannot read them, and we cannot recover them for you — if you lose access to your encryption keys, past messages cannot be restored. Encryption does not exempt you from these terms: the rules in section 11 apply to messages, and we act on reports from participants in a conversation.
14. Suspension, freezing and termination
We may suspend or limit your account, freeze your balance, hold a transaction, or terminate your account where we reasonably believe there is fraud, money laundering, a sanctions match, a serious breach of these terms, a risk to another user’s safety, or where the law requires it.
Where we can, we will tell you and explain why. Sometimes we are legally prohibited from doing so, particularly in relation to suspected financial crime.
If we terminate your account and you hold withdrawable funds, we will return them to you once we have completed any necessary checks, unless we are legally prevented from doing so. You can contest any decision by contacting support@network.gift.
15. Closing your account
Delete your account any time from Settings → Delete Account. Deletion is scheduled 30 days out and you can cancel it by signing back in during that period.
Withdraw your withdrawable balance before you delete. Deleting your account does not pay out your balance, and we are not obliged to return funds left behind. Transaction and compliance records are retained as described in the Privacy Policy.
16. Service availability
We aim to keep Gift Network running but do not guarantee it will be uninterrupted or error-free. We may modify, suspend or discontinue features at any time. If we discontinue the service entirely, we will give you reasonable notice and a way to withdraw your withdrawable funds.
17. Disclaimers
Except where the law says otherwise, Gift Network is provided “as is” and “as available”, and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will meet your requirements, that defects will be corrected, or that third-party providers will perform as expected.
Nothing in these terms excludes liability that cannot lawfully be excluded, including under Ontario consumer protection legislation.
18. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, goodwill, data or opportunity, however caused.
Our total liability to you for any claim relating to Gift Network is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose, and (b) CAD 100.
We are not liable for the conduct of other users, for gifts you chose to send, for the acts or omissions of Stripe, Stream, Reloadly, gift card issuers or other third parties, or for losses arising from your failure to keep your credentials secure. These limits do not apply to our own fraud, wilful misconduct, or liability that cannot lawfully be limited.
19. Indemnity
You will indemnify us against claims, losses and reasonable legal costs arising from your breach of these terms, your misuse of Gift Network, your content, or your violation of anyone else’s rights or of any law.
20. Disputes and governing law
Come to us first: email support@network.gift and we will try to resolve the matter within 30 days. Most problems are settled this way.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Any dispute not resolved informally will be brought exclusively in the courts of Ontario, and we each submit to their jurisdiction — except that either of us may bring a claim in small claims court, and nothing prevents you from bringing a complaint to a regulator.
Claims must be brought individually, not as part of a class or representative proceeding, to the extent that limitation is enforceable where you live.
21. Apple App Store terms
When you get Gift Network through the App Store, the following also applies. This agreement is between you and Gift Network only, not Apple — Apple is not responsible for the app or its content. Apple has no obligation to provide support or maintenance. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; Apple has no other warranty obligation. Apple is not responsible for product liability claims, consumer protection claims, or third-party claims that the app infringes intellectual property rights — those are our responsibility as set out in these terms. You confirm you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and are not on any U.S. Government prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
22. Changes to these terms
We may update these terms. The effective date at the top always shows the current version. For material changes we will give you at least 30 days’ notice in the app or by email. Continuing to use Gift Network after a change takes effect means you accept it; if you do not, close your account before then.
23. General
If any provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement; we may assign it to an affiliate or successor. There are no third-party beneficiaries other than Apple as described in section 21. Sections 5, 8, 10, 12, 14, 17, 18, 19, 20 and 23 survive termination.
